Arts Capital Holdings, LLC is a Nevada Series Limited Liability Company that acquires, operates, and scales established businesses in the U.S. beauty and wellness sector. The Company is managed by Arts Holdings Management, LLC, a separate Nevada entity founded and led by Anthony E. Enyeart.

Philosophy

Operational value creation, not financial engineering

The Manager's approach begins with a conviction that sustained investment returns are best generated by acquiring real businesses at sensible valuations and applying operational discipline to improve recurring revenue, margin quality, and institutional readiness for eventual private equity exit.

Every acquisition target must meet rigorous pre-qualification criteria: a minimum multi-year operating history, verifiable revenue, an established client base, and a defensible market position. The Manager does not acquire startup-stage, pre-revenue, or development-stage businesses. This discipline ensures that the portfolio's economic foundation rests on demonstrated operating performance rather than projections.

The Manager's proprietary 60/40 Membership Architecture converts acquired businesses from transactional, walk-in-dependent models to recurring-revenue membership businesses — a transformation that materially improves EBITDA quality and directly drives higher valuation multiples at exit.


Legal structure

Institutional governance by design

The Company operates under a Nevada Series Limited Liability Company structure pursuant to NRS 86.296, which provides full asset segregation between Series. Each Series maintains separate books, records, and bank accounts. The liabilities of one Series are not enforceable against the assets of any other Series or against the Company generally.

This structure is complemented by two dedicated reserve facilities — a Member Capital Return Reserve and an Operating APR Backstop — that are funded from portfolio income on a pre-defined schedule, providing structural protection against capital return and quarterly distribution risk. The complete legal framework has been prepared to institutional private equity standards and is available for review by qualified investors and their advisors under confidentiality.

European infrastructure

Permanent presence in Zurich

The Company maintains a permanent European investor relations and distribution presence in Zurich, Switzerland. The European team provides locally-based support for prospective and admitted investors across the DACH region (Germany, Austria, Switzerland) and the broader European Union.

European distribution is led by Francesco Elmi, who holds the FinSA/FIDLEG Certificate issued by IfFP Institut für Finanzplanung — Switzerland's leading financial education institute — authorizing him for registration in the Swiss Client Adviser Register. This certification enables licensed investor relations activities across Switzerland and Germany.

Regulatory framework. The Company's European distribution operates under the Swiss FinSA Structure C foreign financial service provider exemption for professional and institutional clients. The Manager's long-term European infrastructure plan includes the formation of a Swiss GmbH subsidiary and subsequent EU MiFID II passporting through a Luxembourg entity, enabling institutional-scale distribution across all 27 EU member states.
